Advertising / Use of registered trademarks
Cocina sin Límites, S.L. is the legal owner of the 100%Chef® and 100%Barman® products and brands, as well as the legal rights to use names, texts, and images, and is ultimately responsible for approving the final prices of these products before they reach the end customer. As a distributor and in acceptance of this commercial agreement, you may not create, publish, distribute, or print any material for marketing operations, promotions, etc., in any type of medium or channel, whether physical, electronic, or audiovisual, about the products distributed or manufactured by Cocina sin Límites, S.L. and/or under its 100%Chef® or 100%Barman® brands without the written consent of Cocina sin Límites, S.L.
Relationship between the parties
The parties’ relationship is a distribution relationship. Distributors are “independent businesses” and are not considered employees or direct agents of Cocina sin Límites, S.L. As an independent business, you are not authorised to represent or make claims on behalf of Cocina sin Límites, S.L., either in writing or in any other medium, without the express permission of Cocina sin Límites, S.L.
Modification
Cocina sin Límites, S.L. reserves the right to modify any terms and conditions contained in this commercial agreement of good practice. Likewise, either party may terminate this agreement by giving two months’ written notice with acknowledgement of receipt. However, Cocina sin Límites, S.L. may terminate this agreement without prior notice in the event of a breach by the distributor of the conditions agreed herein or if their actions damage the image or brands of Cocina sin Límites, S.L., which reserves the right to take further legal action.
Confidentiality
All information, data, documents, etc. generated within the framework of this agreement and the subsequent commercial relationship, including tax, commercial, sales, private terms or agreements, rates, graphic and electronic design media, customer lists, etc., are strictly confidential, with each party being responsible for their protection and safeguarding against transmission to third parties.
Recommended Retail Price (RRP)
Cocina sin Límites, S.L. will provide you, as a distributor, with an RSP for all items, which will be the reference price for the end customer. Cocina sin Límites, S.L. will apply its discount as an official distributor to this RSP.
General terms and conditions of sale INTERNATIONAL
Orders. All orders, which will be processed within a minimum of 48 hours, should be sent by email to: orders@100x100chef.com, indicating your company name, tax identification number, address and delivery times, contact person, etc. as well as the REFERENCE AND NAME OF THE ITEM, the REQUIRED QUANTITY (in number of boxes, not units per box), respecting the minimum quantities per reference. Each order generates an individual order number and if this is already closed, subsequent additions will generate a new order. The MINIMUM ORDER to benefit from discounts is €1,000 (net price, excluding taxes).
Prices. Our rates may be modified during the course of the year and you will be notified sufficiently in advance of their application. These do not include VAT. For large quantities or customised orders, please contact us. Prices are EXW Barcelona, Cocina sin Límites, S.L.
Invoicing. Goods will be invoiced according to the current price list. If a quote/proforma invoice is requested, it will be valid for a period of 15 days from the date of issue.
Transport. To your delivery address (we do not ship to third-party customers). It is essential that you provide us with: Full address, Contact person, Telephone number, Delivery times, etc. You can request a quote from us for the costs or arrange collection yourself.
Transport insurance. All our items are properly packaged and checked before being shipped. Therefore, Cocina Sin Límites IS NOT RESPONSIBLE FOR DAMAGE OR LOSS OF GOODS CAUSED DURING TRANSPORT, except for damage covered by CRM, IATA or equivalent insurance. We therefore recommend that you take out additional insurance before accepting the proforma invoice in order to avoid any subsequent incidents. If you do not do so, Cocina sin Límites will not be responsible for replacing the product.
Payment. Payment shall be made in advance by bank transfer charged to your account (OUR). VERY IMPORTANT: As a preventive measure against possible fraud, with the serious financial and organisational damage that this can cause, would like to inform you that Cocina sin Límites, S.L. will not request any changes to your account or bank details via email. If you receive any request for a change of bank account via email, please DO NOT comply and contact us by telephone to report the incident. Warranty.All our products, due to their professional nature and based on this commercial relationship between professionals (not consumers), have a one-year warranty from the date of invoice to the end customer. These warranties are subject to compliance with the maintenance and use conditions specified in each manual.
If the distributor agrees to sales to consumers, it shall be obligated to hold Cocina sin Límites harmless from any claims that may be brought against it by such consumers, in accordance with current consumer and user protection regulations.
Likewise, Cocina sin Límites reserves the right to seek compensation from the distributor for any damages that may be caused to Cocina sin Límites as a result of, among other things, any claims, lawsuits, administrative or disciplinary proceedings that may be brought against Cocina sin Límites in application of such consumer and user protection regulations.
Revision. Cocina sin Límites, S.L. reserves the right to discontinue any product, alter or revise specifications, packaging or design on an ad hoc basis.
Claims and Expenses. The customer must check the condition of the goods upon receipt and, if there is any damage, malfunction, incorrect handling, open packaging, or loss, must note this on the delivery note and notify the carrier of the claim. All claims must be addressed to Cocina sin Límites, S.L. within 48 hours of receipt of the goods and no returns will be accepted without the prior consent of Cocina sin Límites, S.L. No returns of goods, whether used or unused, will be accepted without a justified reason and without the written authorisation of Cocina sin Límites, S.L. All goods returned to Cocina sin Límites, S.L., or sent by it, for whatever reason, will be at no cost to Cocina sin Límites, S.L.
If a return request is accepted, Cocina sin Límites, S.L. will apply a 10% fee on the returned product’s value to cover the management and storage costs associated with the return. The remaining amount to be paid will generate a credit balance in your favour for future purchases. If the reason for the return is due to an error on the part of Cocina sin Límites, S.L., the corresponding corrective invoice will be sent to you. If the claim affects a product within the warranty period, Cocina sin Límites, S.L. will assume, if applicable, the costs of repair, replacement parts and return shipping to the distributor.
Cocina sin Límites, S.L. is not responsible for and does not assume any costs or other repercussions that may arise once the goods have been shipped from the Cocina sin Límites, S.L. warehouse. Therefore, any incident at the destination (customs, port storage, logistics, etc.) and any resulting consequences shall be borne by the buyer, who releases the seller from any liability to third parties.
Acceptance. Placing an order implies acceptance of our terms and conditions of sale. In the event of a dispute, only the courts designated by Cocina sin Límites, S.L. shall be valid and competent.
Delays in shipping. Cocina sin Límites, S.L. will endeavour to make shipments within a reasonable time, and will be exempt from any liability to the end customer and from any commitments that the distributor may have made to the end customer.
Renewal. To maintain official distributor status, annual turnover of more than €20,000 (net price, excluding taxes) must be achieved in the first year. For subsequent renewals, the amount purchased from 100% Chef cannot decrease by more than 10% compared to the previous year.
Initial order: The first order must exceed 6,000 €. This order is intended to provide commercial samples to equip your showroom or demonstration room.
Commercial sales area. The distributor may only make sales within the country in which they are registered as a company. If they occasionally have to make a sale abroad, they must notify Cocina sin Límites, S.L. for approval. Cocina sin Límites, S.L. does not participate in or authorise you, as an official distributor, to sell our products on any marketplace.
Delays in collection. If, within a reasonable period of 1 month after notifying you that the goods are ready for delivery, they have not been collected, Cocina sin Límites, S.L. reserves the right to either dismantle the order and recover the goods, or to charge a weekly storage fee of €30 plus tax for each box or pallet. Likewise, Cocina sin Límites, S.L. reserves the right not to refund amounts paid on account for special productions or high volumes required to fulfil your order.
Stock reservations: Stock reservations will be valid for up to 15 days; after this period, the products will be returned to sale.
Minimum orders: orders must exceed £1,000; otherwise, they will not be processed or prepared for shipment. If you need to place an order for a smaller quantity, distributor discounts will not apply.
Minimum stock: As far as possible, distributors must maintain sufficient stock to ensure optimal service for their customers, avoiding stock shortages and order delays. We recommend providing advance notice of high-volume operations to ensure safety stock is available at our facilities for these customers.
